Filmmaker Participation Agreement

Welcome! This agreement explains how you can share your film with Visual Rhythms and how you’ll get paid. By clicking “I Agree,” you confirm you understand and accept these terms.
1. Your Rights and Ownership
You retain full ownership of your film.
By submitting your film, you give Visual Rhythms a non-exclusive license to:
• Host, stream, and display your film
• Promote and market it on our platform and social media
All other rights remain yours. You can remove your film anytime (see Section 12).
2. What You’re Representing
When you submit your film, you promise that:
You own or control all the rights needed to share it.
It doesn’t infringe anyone else’s copyright, trademark, or privacy rights.
Any music, footage, or other materials are properly licensed.
You have the legal authority to enter this agreement.
All info you provide is accurate.
These promises help keep your film and our platform safe.
3. Indemnification (Protecting Each Other)
You agree to protect Visual Rhythms from any claims or losses that come from:
• Breaches of the promises above
• Any disputes over ownership or rights
• Claims of infringement
Visual Rhythms will have the right to manage any legal claims, but we’ll always communicate with you.
4. How to Submit
Please provide:
• One H.265 .MP4 master file
• Title and synopsis
• Tags and hashtags
• Artwork for promotion
We may ask for revisions if technical or quality standards aren’t met. Acceptance is at our discretion, and we may remove or reposition films as needed.
5. Quality and Curation
We want your film to shine. Films must meet minimum standards for:
• Picture clarity
• Sound quality
• Editing and storytelling
• Overall professional presentation
We may remove films that don’t meet these standards or for legal or community concerns.
6. Distribution and Pricing
We handle:
• Where your film is available (transactional or subscription)
• Pricing
• Promotional placement
• Release schedule
Placement and visibility are determined by the platform to help films reach the right audience.
7. How You Earn
Subscription Revenue: 90% goes to filmmakers, 10% covers platform operations.
Advertising Revenue: 100% retained by Visual Rhythms.
Revenue Allocation:
• 75% of your share is based on watch hours• 25% is base payments for qualifying films
Watch Hour Tiers:
Tier 1: 500+ watch hours/month – highest base payment
Tier 2: 100–499 watch hours/month – mid-level base
Tier 3: 50–99 watch hours/month – entry-level base Below 50 hours – performance-based only
Thresholds may change with reasonable notice.
8. Reporting and Payments
You’ll see metrics like:
• Watch hours
• Completion rates
• Discovery sources
Payments will be made periodically, following minimum thresholds and processing requirements. You’re responsible for taxes on payments. Our tracking is final unless there’s an obvious error.
9. Exposure and No Guarantees
We actively promote films, including:
• Trailer placements before other films
• Featured collections
• Marketing campaigns
However, we cannot guarantee a specific audience size, earnings, or placement.
10. Leaving the Platform / Transition to Other Distributors
We want Visual Rhythms to be a launchpad, not a gatekeeper. If you choose to distribute your film elsewhere after it has premiered on Visual Rhythms, there is no fee required.
Instead, we ask for a small, fair way to recognize our platform:
Place the Visual Rhythms logo at the start of your film.
Why this works for everyone:
• Promotes Visual Rhythms and supports other independent filmmakers• Keeps expensive licensing fees out of the picture
• Rewards the platform that helped introduce your film to an audience• Maintains goodwill and visibility for future collaborations
This creates a win-win: you retain full control of your distribution, and Visual Rhythms gains ongoing recognition for supporting independent creators.
11. Liability
We’re not liable for indirect, incidental, or consequential damages (like lost income).Our total liability is limited to the total amount you’ve earned from the platform in the 12 months prior to a claim.
12. Term and Removal
You or Visual Rhythms can remove your film at any time with written notice. Revenue earned before removal will still be paid. Sections about promises, indemnification, liability, and logo placement survive removal.
13. Independent Creator
You’re an independent creator. This agreement does not create an employment, partnership, or agency relationship.
14. Governing Law
This agreement is governed by the laws of [Insert State].Any disputes are handled in the courts of [Insert County, State].
15. Entire Agreement
This is the full agreement between you and Visual Rhythms regarding your film. We may update it in the future with notice.
16. Acceptance

• You accept the logo placement arrangement if distributing elsewhere
